Terms of Service

1. Acceptance of Terms

By creating an account, accessing the ORVEXA platform, or using the ORVEXA API (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by ZEVCHEN AI LIMITED (澤鋮數研有限公司), a company incorporated and operating under the laws of the Hong Kong Special Administrative Region ("ORVEXA", "we", "us", or "our").

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

ORVEXA is a unified, OpenAI-compatible AI model gateway that aggregates three categories of models:

• Authorized Domestic Models — commercially licensed Chinese closed-source models.
• Compliant Open-Source Models — self-hosted open-source models distributed under their respective licenses.
• BYOK Models — third-party models (OpenAI GPT, Anthropic Claude, Google Gemini) accessed with the customer's own API key; ORVEXA does not resell these.

The Service includes a web dashboard, a model playground, and an OpenAI-compatible API endpoint. ORVEXA does not guarantee the availability of any upstream model. Models may be added or removed from the platform with notice where practicable, but ORVEXA reserves the right to make changes without prior notice in urgent circumstances.

Platform models (the first two categories above) are provided under ORVEXA's own commercial arrangements with authorized suppliers, and ORVEXA acts as the service provider for those models. BYOK models are not sold or resold by ORVEXA: requests made with your own API key are sent directly to the relevant provider's official API endpoint, and your use of those models is governed solely by your own agreement with that provider. ORVEXA does not configure or supply platform credentials for BYOK-only models.

3. Eligibility & Accounts

You agree to provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your API keys and account credentials. All activity that occurs under your account is your responsibility. You must notify ORVEXA promptly of any unauthorized use of your account or API keys. ORVEXA may suspend or terminate your account if we reasonably believe it has been compromised or is being used in violation of these Terms.

3A. Eligible Territories and Restricted Regions

The Service is operated by ZEVCHEN AI LIMITED in and from the Hong Kong Special Administrative Region. The Service is not offered to, and may not be accessed or used by, any person located in, ordinarily resident in, or incorporated in mainland China, or in any country or territory subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), currently including Cuba, Iran, North Korea, and Syria (collectively, the "Restricted Territories"). We apply technical controls, including IP-based geographic blocking, to prevent access from the Restricted Territories.

• You represent and warrant that: (a) you are not located in, ordinarily resident in, or incorporated in any Restricted Territory; (b) you are not acting on behalf of, or for the benefit of, any person located in or associated with a Restricted Territory; and (c) you are not a sanctioned person or listed on any restricted-party list.
• You must not access or use the Service through any means intended to circumvent geographic restrictions, including VPNs, proxies, or anonymization networks.
• If we reasonably believe the Service is being accessed from, or on behalf of a person in, a Restricted Territory, we may suspend or terminate the account immediately without refund. You remain solely liable for any consequences of unauthorized access from a Restricted Territory.

4. Credits, Pricing and Payments

ORVEXA uses direct USD billing. Each API call is deducted from your balance at the published per-million-Token price for the model.

Top-ups can be made via Stripe (card), PayPal, or bank wire transfer (USD, for Business tier). All prices are in USD. Taxes, currency conversion fees, and bank fees are borne by the customer. Wire underpayment or overpayment will be handled on a case-by-case basis.

Top-up balances never expire. Each API call is deducted from your balance at the model's per-million-Token USD price. Paid Credits are deducted first, followed by Bonus Credits.

ORVEXA may change pricing with 30 days' notice by email or in-dashboard banner. Existing purchased Credits are unaffected by pricing changes. The Service does not permit negative balances; requests are rejected when your Credit balance is insufficient.

5. Acceptable Use Policy

You agree not to use the Service to:

• Generate, distribute, or promote illegal content, including child sexual abuse material (CSAM).
• Create, distribute, or execute malware, ransomware, or other malicious code.
• Engage in fraud, phishing, or deceptive practices.
• Send spam or engage in unauthorized scraping of websites or services.
• Conduct unauthorized penetration testing or security scanning.
• Resell the Service or any part of it without prior written authorization.
• Circumvent rate limits, quotas, or other usage restrictions.
• Use BYOK models in violation of the upstream provider's terms of service.
• Interfere with or disrupt the Service's infrastructure or networks.
• Use the Service to build a substantially competing model-aggregation service without a separate written agreement.
• Misrepresent model outputs as human-reviewed where consumer harm is likely.

6. Intellectual Property

The ORVEXA platform, branding, documentation, and all related materials are © ZEVCHEN AI LIMITED, all rights reserved.

You retain all rights to your inputs and outputs, subject to the terms of upstream model providers. You are responsible for ensuring that you have the necessary rights to your inputs.

Open-source models are provided under their respective upstream licenses (Apache-2.0, MIT, Llama community license, etc.) — see model details on the platform. BYOK models are governed by the provider's own terms (OpenAI, Anthropic, Google) which you must accept directly with the provider.

7. Confidentiality & API Keys

API keys are credentials. You must not share them in public repositories or with unauthorized parties. BYOK keys are encrypted at rest. ORVEXA will not use BYOK keys except to route your requests to the upstream provider.

8. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE". ORVEXA makes no warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI outputs may be inaccurate or hallucinated. You must review outputs for your use case. ORVEXA is not liable for decisions made based on model outputs. Upstream providers' disclaimers also apply to their respective models.

9. Limitation of Liability

To the maximum extent permitted by law, ORVEXA's total liability is capped at the amount you paid ORVEXA in the 12 months preceding the event giving rise to the claim.

ORVEXA is not liable for indirect, incidental, consequential, or punitive damages; lost profits, revenue, or data; service interruptions; or third-party model conduct.

Nothing in these Terms excludes liability that cannot be excluded under HKSAR law (e.g. fraud, gross negligence, personal injury).

10. Indemnification

You agree to defend, indemnify, and hold harmless ORVEXA and its affiliates from any claims arising from: (a) your breach of these Terms; (b) your inputs or outputs; (c) your use of the Service in violation of law or the Acceptable Use Policy; or (d) infringement of third-party rights by your data.

11. Term & Termination

You may delete your account at any time. Deletion is irreversible. Credits remaining at deletion are forfeited except as required by law.

ORVEXA may suspend or terminate your account immediately for material breach (AUP violations, fraud, non-payment, legal demand). On suspension, API requests fail closed.

The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Payment/Indemnity, and Governing Law.

12. Changes to Terms

ORVEXA may modify these Terms with 30 days' notice for material changes. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. The last-updated date is shown at the top of this page.

13. Governing Law & Disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. There shall be one arbitrator. Mandatory consumer law rights are preserved.
